Terms & Conditions

Key Definitions

  • Agreement – Any mutually accepted contract, proposal, statement of work, or attached documentation governing the project.
  • Client Materials – All text, images, files, instructions, or other content provided by the client for use within the project.
  • Deliverables – The work products that DigitalAccessibilityAudit.com is obligated to supply according to the Agreement.
  • Company Tools – All proprietary assets used or created by the Company, including software, code, scripts, frameworks, design assets, architecture, layouts, workflows, and similar materials, whether or not they are eligible for patent or copyright protection.
  • Final Deliverables – The completed versions of deliverables are submitted to the client after revisions and approval.
  • Project – Any service, task, or set of tasks performed by the Company as described in the Agreement.
  • Services – All activities, consulting, development, auditing, design, or other services provided by DigitalAccessibilityAudit.com.
  • Third-Party Assets – External resources such as stock photos, fonts, plugins, or other materials licensed or purchased from outside providers.

Development and Service Delivery

We will perform all services outlined in the accepted proposal and Agreement, following the timeline and milestones mutually established with the client.

Proposals and Scope of Work

  • Proposals remain valid for 30 days from the date of delivery.
  • If a proposal is not accepted within that period, the Company may revise pricing, timeline, or scope before resubmission.

Compensation and Fees

  • Additional Costs. Third-party expenses (e.g., hosting, licensing, plugins, specialized software) will be invoiced separately from service fees.
  • Expenses. Any external costs incurred during the project will be billed to the client at their exact cost.
  • Fees. All fees, taxes, and mandatory payments must be paid by the client according to the project schedule.

Payment Terms

  • Invoices must be paid within 5 days of receipt.
  • Each invoice will clearly separate service fees, additional costs, and reimbursable expenses.
  • The payment schedule for larger projects will follow the agreed milestones.

Modifications to Project Scope

  • Change Requests. Any change to the original scope must be submitted in writing. We will respond within 5 working days with updated pricing, timeline adjustments, and any required contract modifications.
  • Minor Adjustments. Changes costing less than 20% of the project value or deemed minor by the Company will be billed at our standard hourly rates. Delivery dates may shift accordingly.
  • Major Adjustments. Changes exceeding 20% of the project value or considered substantial will require a new or supplemental proposal. Work will pause until the updated proposal is approved.
  • Proposal Approval. The client must approve or reject an updated proposal within 14 working days. If not approved, the Company has no obligation to proceed with additional work.

Delays

Delays by Client. The client must provide required content, approvals, and information promptly. Delays caused by the client will extend milestone deadlines on a day-for-day basis.

Delays by the Company. If delays occur due to our internal issues, we will notify the client immediately via email.

External Delays. Events outside either party’s control, such as natural disasters, government actions, strikes, war, or terrorism, will not be considered a breach and will extend deadlines proportionally.

Review and Acceptance

Testing

DigitalAccessibilityAudit.com will perform industry-standard testing before submitting deliverables.

Approval Periods

  • The client has 7 working days to accept or reject deliverables.
  • Rejection must include detailed written reasons.
  • We will correct issues within 14 working days.
  • The client then has an additional 7 days to review updated deliverables.

Client Responsibilities

The client agrees to:

  • Ensure all provided content is usable and compatible with the project.
  • Provide accurate, proofread materials; revisions due to client error will be billed.
  • Make timely decisions regarding third-party purchases or integrations.

Accreditation and Promotional Use

  • Attribution. Unless otherwise agreed in writing, we may include a small, discreet attribution or link on completed digital assets or reports.
  • Portfolio Use. We may showcase completed deliverables in portfolios, case studies, presentations, and promotional materials.
  • Mutual Approval. Neither party shall unreasonably withhold permission for the other to reference the project publicly. Links to each other’s websites may be included.

Confidentiality

Both parties agree to keep all confidential information strictly private and not share it with third parties. Information is not considered confidential if:

  • It is already publicly available
  • It was previously known without restrictions
  • It was legally obtained from a third party

Relationship of Parties

  • We may use subcontractors, but we remain responsible for the final deliverables.
  • The Agreement does not create exclusivity between the parties.
  • We are an independent contractor, not an employee, partner, or agent of the client.
  • Work produced by the Company is not considered “work for hire” unless explicitly stated in the Agreement.

Limitation of Liability

All services are provided “as is”. DigitalAccessibilityAudit.com is not liable for any indirect, incidental, or consequential damages. Our total liability will not exceed the amount paid by the client for the specific project.

Rights to Work Produced

The client receives a non-exclusive, perpetual, worldwide license to use the final deliverables as originally agreed. The client may not alter, separate, or create derivative works without prior written approval from the Company.

Support and Warranty

  • We provide reasonable post-delivery support and maintenance at standard hourly rates.
  • Any warranty becomes void if third parties modify, alter, or interfere with our deliverables.
  • We are not responsible for issues caused by modifications or integrations performed by others.

Updates to Terms

DigitalAccessibilityAudit.com reserves the right to amend these Terms and Conditions at any time. Continued use of our website or services constitutes acceptance of any updated terms.
